1. The terms and conditions contained in this service agreement (hereinafter referred to as “this agreement” or the “Terms of Use”) constitute a service agreement between ALFONSO RIVEROLL, acting on behalf of KD WELLNESS, LLC, a commercial company with its registered office at 142 NW 37th St. Miami, FL, 33127, incorporated in accordance with the laws of the State of Florida, United States of America (hereinafter referred to as "Shop Vida Fit") and you. It constitutes a mutual agreement, whereby by accessing or using Shop Vida Fit services, visiting our website, or making a purchase, you accept these Terms of Use. Using the website https://shop.vida-fit.com/ implies tacit acceptance that you agree to the Terms of Use stipulated in this document, regardless of any explicit acceptance method (including any clicks). If these Terms of Use are not acceptable to you, you must cease using our website and refrain from making any purchases; if you do not suspend such use, you remain bound by these Terms of Use.

1.1. To operate on the technological platform, all Users must accept the Terms and Conditions, annexes, and Privacy Statement. Each User is responsible for the personal data provided during registration and is obligated to keep it updated. Furthermore, the User is solely responsible for the use and safekeeping of their password.

1.2. If Shop Vida Fit detects any falsity or inaccuracies in the information provided by the User, Shop Vida Fit reserves the right to temporarily suspend or permanently cancel the User’s account without prior notice, without any right to compensation.

1.3. At Shop Vida Fit, we reserve the right to modify these Terms of Use at any time without prior notice, which will be communicated to the User through the platform.

1.4. All dietary supplements offered on our platform are subject to availability and the prices valid at the time of the transaction. Shop Vida Fit reserves the right to change product prices and availability without prior notice.

Prices and Payments

  1. Prices: All prices published on Shop Vida Fit are expressed in United States Dollars (USD) in accordance with the fiscal regulations in force in the country.

3.1. Accepted Payment Methods: At Shop Vida Fit, the following payment methods are accepted: United States Dollars (USD) through Shopify payment platforms, Paypal and Venmo. 

3.2. Payment Processing: Payments will be processed through the Shopify platform, a provider of digital payment solutions. Upon completing the purchase process, the user will automatically be redirected to Shopify’s secure platform, where the transaction must be completed. By accessing this platform, the user implicitly agrees to the Terms and Conditions of our commercial allies, as well as their privacy and usage policies.

3.3. Payment Security: All payment-related information will be processed securely via the Shopify platform. Shop Vida Fit, in compliance with data protection regulations, will not store or retain any information related to credit or debit cards.

3.4. Change of Payment Service Provider: In the event Shop Vida Fit decides to change, modify, or replace the payment service provider, financial transactions related to Shop Vida Fit products and services will continue to be processed by a third party, in accordance with their terms of use, privacy policy, and/or applicable terms and conditions. Shop Vida Fit will not be held responsible for any actions or omissions by third-party payment processors, including but not limited to service interruptions or platform downtime.

Shipping and Delivery

4. Product Shipping: Products purchased from Shop Vida Fit will be shipped to the address provided by the user at the time of purchase. The shipping cost will be calculated based on the delivery location and the product weight, and it must be borne by the user.

4.1. Processing and Delivery Times: Confirmed purchase orders will be processed and delivered within a timeframe of two (2) to seven (7) busisness days. Additionally, no deliveries will be made on Saturdays, Sundays, or holidays. Any variations in schedule or delivery availability will be promptly communicated to the user.

4.2. Responsibility for Delivery Address: The user is responsible for providing a complete and accurate delivery address. If the package is returned to Shop Vida Fit due to an incorrect or incomplete address, the user will bear the costs of reshipping. Shop Vida Fit will not refund the original shipping charges or cover additional costs resulting from address errors provided by the user.

4.3. Shipping Policy: Product shipments will be managed through our shipping allies AMAZON, UPS, and USPS. Once the payment is confirmed and the order is processed, the user will be redirected to the secure platform of AMAZON, UPS, or USPS, depending on the chosen shipping method, to coordinate the delivery service. By accessing these platforms and using their services, the user automatically accepts the applicable Terms and Conditions of our service providers.

4.4. Change of Delivery Service Provider: If Shop Vida Fit decides to change, modify, or replace the delivery service provider, the user will be redirected to the secure platform of the new provider. Using this platform will imply the user's automatic acceptance of the terms of use, privacy policy, and any other applicable policies of the new service provider.

4.5. Changes to Prices and Availability: Shop Vida Fit reserves the right to modify product prices and availability at any time without prior notice. The applicable price for each transaction will be the one in effect at the time of the user’s purchase confirmation, regardless of any subsequent price changes.

Subscribe and Save Program Terms and Conditions

Welcome to our Subscribe and Save Program. By subscribing, you agree to the following terms and conditions. Please read them carefully.

5.1. Subscription Overview

  • Customers who subscribe to a product in our store will receive a 20% discount on the regular price of the item.
  • The subscribed product will automatically be delivered every 30 days, ensuring uninterrupted access to your favorite products.

5.2. Discount Eligibility

  • The 20% discount applies only to items purchased as part of the subscription plan.
  • Discounted pricing is valid for the duration of the subscription.
  • Additional promotions or discounts cannot be combined with the Subscribe and Save discount.

5.3. Payment Terms

  • By subscribing, you authorize recurring charges to your selected payment method at the discounted price for each subscription cycle.
  • Payment will be processed automatically at the start of each 30-day cycle.

5.4. Cancellation and Modifications

  • You may cancel or modify your subscription at any time by logging into your account on our Shopify store.
  • To avoid being charged for the next subscription cycle, cancellations or modifications must be made at least 3 days before the scheduled renewal date.
  • If canceled after the renewal date, you will still receive the current cycle’s product but will not be charged for future cycles.

5.5. Shipping and Delivery

  • Products will be shipped automatically every 30 days based on the date of the initial subscription.
  • Standard shipping policies apply to Subscribe and Save orders, including shipping fees, if applicable.
  • Delivery dates may vary based on product availability and shipping carriers.

5.6. Refunds and Returns

  • Refunds or returns for Subscribe and Save products follow our standard return policy.
  • If a refund is issued for a subscription order, the discounted price will be refunded.

5.7. Program Termination

  • We reserve the right to modify or terminate the Subscribe and Save program at any time without prior notice.
  • Any changes to the program will not affect active subscriptions until the next billing cycle.

5.8. Customer Obligations

  • Ensure your payment and shipping information is accurate and up to date to avoid disruptions in your subscription.
  • By subscribing, you agree to comply with these terms and conditions and any updates we may make to them.

Return Policy

6.1. Dietary Supplements: Dietary supplements sold in our store are not eligible for return once the packaging has been opened, altered, or tampered with, as such actions compromise the product's integrity. For safety, hygiene, and quality reasons, returns of dietary supplements will only be accepted if the product remains in its original packaging, showing no signs of opening or use, and is in perfect condition for resale.

6.2. Return Conditions: Depending on the reason for the return, the following conditions will apply:

  • Incorrect Product:
    • If the user receives a product that was not requested via the platform, they must contact our operators at Shop Vida Fit to request the shipment of the correct product as ordered on the website.
    • Shop Vida Fit will cover shipping costs related to the return of the incorrect product.
    • The user must return the incorrect product in the same condition in which it was received, in its original packaging, and with the corresponding labels.
  • Factory Defects:
    • If the product has factory defects, the customer must notify Shop Vida Fit to coordinate the return.
    • Shop Vida Fit will cover shipping costs for the return of the defective product and send a replacement or issue a refund, as requested by the customer.

6.3. Conditions for Acceptance of Returns: To be eligible for a return, the product must be in perfect condition. A product is considered in perfect condition if it shows no visible signs of use, wear, damage, or alterations. The product must be returned in its original packaging with all tags and accessories included. Any product that does not meet these conditions will not be eligible for a return or refund.

6.4. Exchanges for Higher-Value Products: If the user wishes to exchange a product for another of greater value, they will be responsible for covering the price difference between the original product and the newly requested product. Additionally, any extra shipping costs generated by the exchange will be borne by the user. If the requested product has a lower value than the originally purchased product, Shop Vida Fit will refund the price difference to the user using the same payment method employed for the initial purchase.

6.5. Initiating the Return Process: To initiate the return process, the user must contact Shop Vida Fit customer service via email at orders@vida-fit.com, providing the order number and a detailed description of the reason for the return. Shop Vida Fit will subsequently provide the user with precise instructions for proceeding with the return shipment.

6.6. Response Time for Return Requests: Once the return process is initiated, Shop Vida Fit commits to responding to the user's request within five (5) business days. If the return is approved, the user will receive the necessary instructions to proceed with the return shipment.

6.7. Processing Refunds or Replacements: Once the returned product is received and inspected by Shop Vida Fit, a refund or replacement will be processed based on the user's request and the applicable return policy. The refund processing time may vary depending on the payment method used, but it will not exceed fifteen (15) business days from the receipt of the returned product.

6.8. Damaged or Defective Products During Shipping: If the product arrives damaged or defective due to shipping, the user must notify Shop Vida Fit within forty-eight (48) hours of receiving the product. In such cases, Shop Vida Fit will cover the costs associated with returning the damaged product and will either send a replacement at no additional charge or issue a full refund, based on the customer’s preference. To process the return, the user must provide evidence of the damage, such as photographs of the product and its packaging.

Intellectual Property

7. Ownership of the Platform: The platform is the exclusive property of Shop Vida Fit, which holds full rights over it and any associated technology. Therefore, any creation, idea, invention, improvement, know-how, concept, algorithm, protocol, data, processes, procedures, methods, techniques, formulas, systems, tools, compositions, codes, software, prototypes, documents, components, or any other information authored by Shop Vida Fit, whether patentable or not, copyrightable, or protected under any other form of intellectual or industrial property rights, shall always remain the property of Shop Vida Fit. Shop Vida Fit also reserves the exclusive right to take necessary actions to protect and register these rights with the competent authorities, including intellectual property offices.

7.1. Materials on the Website: All materials on the website operated, licensed, or controlled by Shop Vida Fit constitute proprietary information and intellectual property of Shop Vida Fit and/or its affiliated or subsidiary companies. Shop Vida Fit retains full authority over these materials. All content on the website, including but not limited to data compilations and software, is the property of Shop Vida Fitand/or its affiliates or subsidiaries and is protected by copyright laws.

7.2. Intellectual Property Claims: In the event a user or third party submits a claim related to the intellectual property rights of marketed products, Shop Vida Fit will not assume any liability.

7.3. Trademarks and Distinctive Signs: The name "Vida Fit" and any other distinctive signs, logos, or trademarks of Vida Fit are protected under intellectual property laws. The use, reproduction, or modification of these trademarks is expressly prohibited without prior written authorization from Vida Fit.

Privacy

8. At Shop Vida Fit, we are committed to safeguarding the privacy and security of our users' personal information. The management, handling, and protection of your personal data are conducted in accordance with applicable data protection laws and regulations. For detailed information on how we collect, use, store, and protect your personal information, as well as your rights concerning it, we invite you to consult our Privacy Policy, which forms an integral part of these Terms and Conditions.

Limitation of Liability

9. Shop Vida Fit shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the virtual store, including, without limitation, data loss, business interruptions, loss of income or profits, or any other type of economic harm. This limitation of liability applies to the maximum extent permitted by applicable law, even if Shop Vida Fit has been informed of the possibility of such damages.

9.1. Shop Vida Fit shall not assume any liability for failures, interruptions, errors, or any other inconveniences arising from services provided by third parties connected to our platform, such as payment or delivery service providers, including but not limited to Shopify, AMAZON, UPS, or USPS. Any claims, complaints, or disputes regarding the functionality, compliance, or availability of these services must be addressed directly with the respective provider, in accordance with their terms and conditions established for their users.

9.2. Shop Vida Fit reserves the right to change, modify, or replace its payment and delivery service providers without prior notice to the user. Such changes will not affect transactions already initiated prior to the modification.

Governing Law and Jurisdiction

10. These policies, terms, and conditions shall be governed by and construed in accordance with the laws of the United States of America, without giving effect to any conflict of law provisions.

10.1. In the event of any dispute or controversy arising from these Terms of Use, the parties agree to attempt to resolve such disputes amicably.

General Provisions

11. These Terms of Use constitute the entire agreement between the user and Shop Vida Fit regarding the use of our virtual store and supersede any prior agreements.

11.1. If any provision of these Terms of Use is deemed invalid or unenforceable, that provision will be interpreted in accordance with applicable law to reflect, as closely as possible, the original intent of the parties, and the remaining provisions will remain valid and enforceable.

11.2. The failure of Shop Vida Fit to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
